Chapter 9 - The Shares Behind the Curtain

Corporate power had a peculiar talent for hiding in paperwork.
A simple-looking proxy could speak with the authority of thousands of shares.
A holding company could obscure a beneficial owner.
A director who seemed independent could be bound by debts nobody else saw.
Malcolm had spent months building a structure from all three.
Daniel and our outside securities counsel traced the voting instructions to a pair of offshore-managed funds and a domestic trust.
Not all of it was unlawful.
That was what made it dangerous.
The illegality appeared where undisclosed control arrangements intersected with false statements made to lenders.
"How many votes?" I asked.
"Enough to force a contested meeting, not enough to win if every director attends and challenges them."
"Then we give everyone the evidence they need."
Charlotte warned me not to convert suspicion into a public accusation.
We compiled the records and transmitted them to the relevant regulators and the board's independent committee.
At the same time, Detective Brooks informed us that a forensic review of the garage system had recovered a shadow copy.
She couldn't show me the footage while the investigation remained active.
She did confirm that it placed another person near Vanessa's Porsche after I left.
The news nearly knocked me off my feet.
Not because I needed a camera to know I'd told the truth.
Because Adrian had never cared enough to ask for one.
That afternoon the board's audit committee held an emergency meeting.
Malcolm attended with a team of lawyers.
Adrian appeared pale, his confidence now clearly rehearsed.
Vanessa sat at the edge of the room.
A lawyer for the committee asked Malcolm to explain the disputed proxies.
He began with a polished account of ordinary financing arrangements.
Then she displayed a lender disclosure with a date that preceded the creation of the supposedly independent trust.
Malcolm stopped speaking.
The lawyer repeated the question.
"Who controlled the voting instructions on the date this statement was made?"
Malcolm looked toward Adrian.
Adrian did not meet his eyes.
For the first time, their alliance began to fracture in public.
After the meeting, Vanessa called me from an unknown number.
"You've had your fun."
Her voice trembled, though she tried to hide it.
"This isn't a game," I said.
"You don't understand what my father will do if he loses."
"Then tell the investigators what you know."
A long silence followed.
"I never wanted him to hurt you."
I stared at the wall.
"You stood there and watched."
She began crying softly.
I didn't comfort her.
"There's something in the side letter," she whispered.
"What?"
"It isn't just about money."
May you like
Before I could ask another question, she hung up.
