Chapter 5 - THE WILL THAT SHOULD NOT EXIST

Peter Caldwell moved first.
He reached for the leather briefcase on the corner of Ryan's desk.
Naomi put one hand on the handle before he could lift it.
"If that briefcase contains a document affecting my client's ownership interest, you are not walking out with it."
Peter stared at her.
"You have no authority to seize my property."
"Then leave it on the desk and call the police."
Margaret stepped between them.
"This is ridiculous."
Ryan did not look at her.
He was staring at Nathan.
"You said there is a second will."
Nathan nodded.
"I saw a draft six months before Eleanor died."
"A draft is not a will."
"I know."
"Did you see a signed version?"
Nathan hesitated.
"Yes."
Peter's voice cut across the room.
"Nathan, you are discussing privileged legal documents."
Nathan laughed bitterly.
"Whose privilege, Peter?"
Peter's jaw tightened.
"Do not make this worse for yourself."
"That is what Margaret has been saying to me for three years."
Ryan felt sick.
"Three years?"
Nathan looked at him.
"I am sorry."
"Do not apologize yet."
Ryan's voice was almost calm.
"Tell me what you did."
Nathan glanced at Margaret again.
Margaret crossed her arms.
"He did his job."
Ryan turned toward her.
"I did not ask you."
Nathan swallowed.
"North Coast was created to move consulting expenses outside the operating statements."
Emily stared at him.
"Move them where?"
"Into private holding companies."
"Owned by whom?" Naomi asked.
Nathan closed his eyes.
"Margaret controlled two of them."
Ryan's hands curled into fists.
"And the third?"
Nathan looked toward Peter.
Peter's face did not change.
Naomi answered for him.
"Let me guess."
She looked at Peter.
"A company connected to your firm."
Peter gave her a cold smile.
"You are guessing."
"For now."
Ryan walked to the door and spoke to his assistant.
"Call building security."
Margaret's eyes widened.
"Ryan."
"You are all leaving."
"This is my family's company."
"It is a public company with a family-controlled voting structure."
He looked at her.
"And you do not work here."
Margaret's face flushed.
"You would have nothing without me."
"Maybe."
Ryan pointed toward the door.
"But I have enough to tell you to get out."
Two security officers arrived within minutes.
Peter closed his briefcase.
Naomi did not try to stop him this time.
Instead, she quietly took a photograph of the briefcase's identification tag and the stack of files he had removed from Ryan's cabinet.
Margaret left without another word.
Nathan remained.
Ryan told security to close the office door behind them.
For the first time in fifteen years, Ryan and Nathan stood on opposite sides of the room like strangers.
Emily stayed near Naomi.
Nathan looked exhausted.
"I did not know what she was doing at first."
Ryan stared at him.
"Start at the beginning."
Nathan sat down.
"Three years ago Margaret asked me to create a consulting structure for family-office expenses."
"Without telling me?"
"She said Eleanor had authorized it."
"Did you verify that?"
Nathan looked away.
"No."
Ryan's laugh was quiet and dangerous.
"You are the chief financial officer of a billion-dollar company."
"I know."
"You verify the cost of office coffee, but you did not verify millions of dollars because my mother asked nicely?"
Nathan's eyes reddened.
"She did not ask nicely."
Ryan stopped.
Nathan pulled his phone from his pocket.
He opened an old photograph.
It showed Nathan's father sitting in a hospital bed.
"My father was dying."
Ryan knew that part.
He had paid for a private nurse when Nathan's insurance refused coverage.
"Margaret found out I had borrowed money against company shares to cover treatment before you stepped in."
Ryan frowned.
"That was not illegal."
"The loan came from a restricted lender."
"Why?"
"Because I was desperate."
Nathan's voice cracked.
"She threatened to report it to the board and securities regulators unless I helped her."
Ryan sat slowly.
"And after your father died?"
Nathan looked ashamed.
"By then I had already signed too much."
"So she owned you."
"Yes."
Emily's anger rose.
"And you let her use Ryan's signature."
Nathan looked at her.
"I never thought she would target you."
Emily stared at him.
"You watched her steal millions and thought she had standards?"
Nathan had no answer.
Naomi opened her notebook.
"Tell me about the will."
Nathan nodded.
"Peter drafted it after Eleanor added Emily to the trust."
"Why would Eleanor sign a will punishing Ryan for staying married to Emily?"
"She would not."
"Then whose idea was it?"
Nathan looked at the door.
"Margaret's."
Ryan leaned forward.
"Are you saying the will is forged?"
"I am saying I saw Peter build it from scans of Eleanor's old signatures."
Silence filled the office.
Naomi stopped writing.
"You saw him do that?"
"Not the final signature."
"Be precise."
"I saw him open archived documents, isolate Eleanor's signature, and save image files."
Ryan whispered, "Jesus."
Nathan continued.
"A week later, Margaret showed me a signed document and said the problem was handled."
"Why did she show you?"
"Because she wanted me to understand what would happen if you chose Emily over her."
Emily's skin went cold.
"She planned this before Eleanor died."
"Yes."
Naomi stood.
"We need forensic copies of every trust and estate document Peter touched."
Ryan looked at Nathan.
"Can you get them?"
Nathan shook his head.
"Not anymore."
"Why?"
"Margaret revoked my access forty minutes ago."
Ryan stared at his computer.
"How can she revoke your access to my company?"
Nathan looked worse.
"Because the family voting trust gives her emergency authority if you are accused of financial misconduct."
Ryan went still.
"Accused by whom?"
Nathan's phone buzzed.
He looked at the screen and turned it toward Ryan.
A breaking-news alert had appeared.
WHITMORE HOLDINGS BOARD TO REVIEW CEO AFTER QUESTIONS ABOUT UNDISCLOSED FAMILY TRANSFERS.
Ryan felt anger rise in his throat.
"She leaked it."
Nathan nodded.
"That is not the worst part."
He opened his email.
A board notice had arrived two minutes earlier.
Emergency meeting.
4:00 p.m.
Agenda item one was Ryan's temporary suspension.
Agenda item two was activation of Margaret's emergency voting authority.
Emily read the notice over his shoulder.
"She is trying to take the company while framing you for the money she stole."
Nathan gave a slow nod.
"That has been the plan for months."
Ryan looked at the clock.
They had less than an hour.
Naomi began issuing instructions.
"Preserve the computer."
"Copy server logs."
"Do not delete anything."
"Nathan, write down every account you touched and every instruction Margaret gave you."
Nathan nodded.
Ryan looked at Emily.
"You should go home with security."
"No."
"Emily."
"She started this by trying to make me sign away my rights."
Her voice was steady now.
"I am not disappearing because that is exactly what she wants."
Ryan wanted to argue.
Then he remembered Eleanor's video.
Emily is not the danger.
Ryan nodded.
"Stay beside me."
At 3:58, Ryan entered the boardroom with Emily, Naomi, and Nathan behind him.
Margaret was already sitting at the far end of the table.
Peter sat beside her.
Six independent directors appeared on video screens.
Three family directors were in the room.
Ryan's younger sister Olivia sat near Margaret with tears in her eyes.
Ryan looked at her.
"You knew about this?"
Olivia shook her head quickly.
"Mom told me there were irregularities."
"Did she tell you they were hers?"
Margaret tapped the table.
"This meeting is not about personal accusations."
Ryan laughed.
"You called an emergency board meeting after leaking accusations about your own son to the press."
One independent director cleared his throat.
"Ryan, the board received documents showing eight-point-four million dollars in transfers approved under your electronic signature."
Naomi placed a folder on the table.
"We have evidence those signatures were used without Mr. Whitmore's authorization."
Peter leaned back.
"Evidence supplied by the chief financial officer who participated in the transfers."
All eyes turned toward Nathan.
Nathan's face tightened.
"I will testify under oath."
Margaret smiled.
"You will testify that you committed financial misconduct."
"Yes."
Her smile disappeared.
Nathan looked at the board.
"And I will testify that Margaret ordered it."
The room exploded with questions.
Margaret remained still.
Peter whispered something in her ear.
Then she slid a thick document across the table.
"Before this becomes a circus, the board should review Eleanor's final testamentary instrument."
Naomi reached for it.
Peter stopped her.
"Copies only."
Ryan looked at the first page.
LAST WILL AND TESTAMENT OF ELEANOR MARIE WHITMORE.
The date was six weeks before Eleanor died.
Ryan turned to the clause Nathan had described.
If Ryan Whitmore remains legally married to Emily Lane Whitmore following a dispute concerning the Bennett beneficiary interest, all voting rights held for Ryan through the Eleanor Whitmore Family Trust shall pass temporarily to Margaret Whitmore.
Ryan stared at the sentence.
It was exactly designed for this moment.
Margaret folded her hands.
"You can keep your wife."
She smiled at Emily.
"Or you can keep your company."
Emily felt every person in the room look at her.
Margaret leaned closer.
May you like
"Choose."
