Chapter 7 - The Man My Mother Trusted

They returned to the Bellamy Grand at 1:14 a.m.

The lobby had changed.

The guests were gone.

The reporters remained outside.

Security barriers blocked the executive elevators.

Lydia Cross sat alone near the bar wearing a hotel robe borrowed from housekeeping.

The expensive silk one had been placed in an evidence bag at Evelyn's request.

Adrian waited in Conference B with two attorneys.

When Isabella entered, he stood immediately.

"Where were you?"

She placed Lucia's appointment instrument on the table.

"Sit down."

Adrian looked at the document.

Then he looked at Marcus.

"What is that?"

Marcus said nothing.

Evelyn closed the door.

Daniel remained outside.

Isabella sat across from Adrian.

"Did my mother ever ask you to protect me?"

Adrian blinked.

"What?"

"Answer."

He looked confused.

"She asked all of us to protect you."

"Not all of us."

She slid the appointment instrument across the table.

Adrian read the first lines.

His face went blank.

He kept reading.

Then his hands began to shake.

"I didn't know."

Marcus laughed bitterly.

"Apparently that's everyone's favorite sentence tonight."

Adrian looked up.

"I swear to you, Isabella, I did not know this existed."

"My mother appointed you successor protector of the Heritage Trust."

"Why?"

"I was hoping you could tell me."

He pushed the paper away as if it burned.

"Lucia never told me."

Evelyn leaned forward.

"The appointment is valid."

"Then revoke it."

"It cannot be revoked by us."

"I renounce it."

"You can resign, but succession would then follow the instrument's next provision."

"Who is next?"

Evelyn's expression tightened.

"The page naming the alternate is missing."

Adrian stared.

"Missing from where?"

"The sealed packet."

Marcus folded his arms.

"Convenient."

Isabella ignored him.

"Adrian, did you give Thomas Vale the Escalante authentication phrase?"

"No."

"Did you tell him about the trust?"

"I didn't know about the trust structure beyond what everyone knew."

"Did you tell him where the original management agreement was kept?"

Adrian looked at Marcus.

"Marcus did."

Marcus stepped forward.

"That is a lie."

"You gave Thomas access to your office."

"For diligence."

"You told him the safe code."

Marcus stopped.

Isabella turned toward him.

"You gave an outside adviser the safe code?"

"He was working on a transaction."

"A secret transaction."

"A confidential one."

"Without me."

"Yes."

At least he had stopped pretending.

Adrian rubbed his face.

"Thomas asked strange questions three weeks ago."

Evelyn leaned forward.

"What questions?"

"About change-of-control provisions."

"Specific ones?"

"He wanted to know whether an ownership challenge could freeze management rights."

"What did you tell him?"

"That it depended on the asset agreements."

"Anything else?"

Adrian hesitated.

"He asked what would happen if Isabella and Marcus separated before a sale."

Isabella felt Marcus turn toward her.

"You knew?" she asked.

"No."

"He was planning around our marriage."

"I said I didn't know."

Adrian looked between them.

"There is more."

No one spoke.

"Thomas asked whether Lucia had left any control rights outside Rafael's trust."

Evelyn went still.

"When?"

"Last month."

"And you did not think that was unusual?"

"I did."

"Then why didn't you report it?"

Adrian laughed without humor.

"Report it to whom?"

He looked at Marcus.

"The man paying him?"

Then at Isabella.

"The woman Marcus told me would be gone after the sale?"

The room froze.

Isabella looked at Marcus.

He closed his eyes.

"Gone?"

"That isn't what I said."

Adrian's anger finally broke through his fear.

"You said you were going to restructure your personal life once Northstar signed."

Marcus stared at him.

"That could mean anything."

"You said Lydia was tired of waiting."

Isabella felt strangely calm.

Perhaps there was a limit to how many betrayals a body could absorb before it stopped reacting.

"How long?" she asked.

Marcus did not answer.

"How long had you planned to leave me?"

"Isabella, this is not relevant."

"It is relevant to the trust trigger."

Evelyn's voice was sharp.

Marcus looked at her, then Isabella.

"A few months."

"Before tonight?"

"Yes."

"And the public humiliation?"

"That was not planned."

"Lydia happened to be wearing my robe and my mother's brooch by accident?"

"She took the robe herself."

"And the brooch?"

Marcus looked away.

That was enough.

Isabella stood.

"You gave it to her."

"I was angry."

"Why?"

"Because you came upstairs and accused me in front of her."

"I found her in my suite."

"You were making a scene."

The old phrase returned.

Isabella almost smiled.

"You really do only have three arguments."

Marcus's face hardened.

"Do not turn this into theater."

"You turned my life into theater when you invited half the city to watch you replace me."

Adrian looked away.

Evelyn placed one hand on the table.

"We need to stay focused."

Isabella nodded.

"Fine."

She looked at Adrian.

"Thirty-one million."

"Yes."

"Tell me every step."

Adrian swallowed.

Then he began.

The money had moved in three transfers over seven months.

The first was twelve million described as a land option deposit.

The second was nine million for development consulting.

The third was ten million as bridge financing.

All three went through Westbridge Capital Partners.

All three were approved by Marcus.

Adrian had countersigned two.

"Why?" Isabella asked.

"Marcus showed me an appraisal."

"For what property?"

"A development site in Tribeca."

Marcus interrupted.

"It exists."

"It does," Adrian said.

"But Westbridge doesn't own it."

Marcus turned.

"What?"

Adrian nodded miserably.

"I checked last week."

"Why didn't you tell me?"

"Because I was trying to figure out where the money went first."

Isabella stared at Marcus.

He looked genuinely stunned.

"You thought you were investing in land you never verified?"

"Thomas handled diligence."

Evelyn sighed.

"Thomas again."

Adrian nodded.

"He brought the deal."

"And Lydia?"

"Her name appeared nowhere on the initial documents."

"Then why Cross Meridian Ventures?"

Adrian opened his phone and pulled up a corporate record.

"It was formed by a nominee service."

"Beneficial owner?"

"Sealed."

"Can we subpoena it?"

"Eventually."

Marcus spoke.

"I want Thomas found tonight."

Isabella looked at him.

"You are finally giving useful orders."

"He stole from me."

"He stole from us."

"From the company."

"From a reserve tied to my family's property."

Marcus opened his mouth.

Then stopped.

He was learning.

Painfully.

Evelyn's phone vibrated.

She checked the message.

"Northstar Meridian's counsel just sent a notice."

Marcus straightened.

"What notice?"

"They are accelerating the transaction."

"Impossible."

"They claim a binding exclusivity letter gives them the right to execute the purchase option if a material change of control occurs."

Isabella frowned.

"Purchase option over what?"

Evelyn looked at Marcus.

"The operating company and twenty-three property purchase rights."

"There are no property purchase rights."

"Correct."

Marcus moved closer.

"Send me the letter."

Evelyn did.

He read the first page.

His face changed.

"I didn't sign this."

Adrian stood.

"What?"

"That is not my signature."

Evelyn took the phone back.

"It was digitally executed from your corporate certificate."

Marcus stared at the screen.

"Thomas had access."

"You gave it to him?"

"Temporary transaction authority."

Isabella closed her eyes.

"Of course you did."

Marcus slammed his palm against the table.

"He was supposed to prepare documents, not sign them."

"Your delegation says otherwise," Evelyn said.

"Then revoke it."

"We can try."

"Try?"

"The buyer is claiming reliance."

Isabella looked at the clock.

1:42 a.m.

The company was no longer merely fighting Marcus.

It was fighting a buyer that believed it had acquired rights Marcus never possessed.

And Thomas Vale was somewhere in the city with the original agreement that could be altered to support that claim.

Evelyn's phone vibrated again.

This time she did not speak immediately.

"What?" Isabella asked.

Evelyn turned the screen toward them.

It was a scanned page from the missing management agreement.

The signature block showed Lucia Escalante's name.

Beneath it was a provision Isabella had never seen.

Upon a material marital dissolution involving Isabella Escalante Mercer, all asset purchase options held by Mercer Hospitality shall immediately vest.

Marcus stared at the clause.

"That's not in the agreement."

"I know," Isabella said.

The message had come from Northstar's counsel.

Underneath the scan was a single line.

We intend to enforce at opening of business.

Someone had forged her dead mother's agreement.
